1. Parties and Roles

1.1 Product Provider

The digital products offered under the Ghost Syndicate Audio name are provided and licensed by Tmi Loop Cult, operating under the registered auxiliary business name Ghost Syndicate Audio.

1.2 Merchant of Record

Payments and transactions made through this website are processed by Moonbase AS, which acts as the Merchant of Record and authorised reseller for Ghost Syndicate Audio products.

Moonbase AS is responsible for processing payments, issuing invoices, collecting and remitting applicable taxes, and handling the commercial transaction with the customer.

2. Acceptance of Terms

By using this website, creating an account or completing a purchase, you agree to these Terms & Conditions, the Ghost Syndicate Audio License and our Privacy Policy. The commercial transaction may also be subject to the buyer terms presented by Moonbase AS during checkout. If you do not agree, please do not use our services or purchase our products.

3. Accounts and Access

3.1 Account Information

You may browse the website without an account. To purchase, access or download products, you may be required to provide information such as your name and email address. Personal information is handled as described in our Privacy Policy and any applicable privacy information provided during checkout.

3.2 Account Security

You are responsible for keeping your login details secure and for activity carried out through your account. Please contact us if you believe your account has been accessed without permission.

4. Products, Purchases and Delivery

4.1 Digital Products

We provide downloadable digital products for music production, including sample packs, synth presets, DAW project files and related producer tools. Product contents, formats, software requirements and compatibility information are stated on the relevant product page where applicable. Please review this information before purchasing.

4.2 Prices and Payments

Prices and available payment methods are displayed during checkout. Applicable taxes are calculated or included as indicated at checkout. Prices, promotions and product availability may change without prior notice. A change does not affect a purchase that has already been completed.

4.3 Digital Delivery

After payment, you will receive an order email with instructions or links for accessing your products. Purchased products may also be added to your customer account. If you do not receive the email, check your spam folder and verify that the email address entered during checkout is correct. 5. Withdrawal and Refund Policy

Ghost Syndicate Audio products are non-tangible digital goods. Once access to a product has been provided or downloading has begun, purchases are final and we do not offer refunds or exchanges for change-of-mind requests.

By expressly requesting immediate delivery of digital content and acknowledging during checkout that delivery may begin before the end of the statutory withdrawal period, you agree that your right of withdrawal is lost once delivery begins.

This policy does not limit any mandatory consumer rights that may apply where digital content is defective, materially different from its description or has not been delivered correctly.

Promotional, discounted, bundle and pre-order purchases are also final once digital delivery has begun. Offers are not retroactive and may be modified or discontinued at any time.

If you experience a technical issue, corrupted file or delivery problem, contact us so that we can investigate and, where appropriate, repair or replace the affected files or provide access again.

6. Product Licence

6.1 Licence Grant

Ghost Syndicate Audio products are licensed, not sold. After legally acquiring a product, you receive a non-exclusive, non-transferable licence to use its sounds and other included materials in your original music productions and other permitted media productions, subject to these Terms and the Ghost Syndicate Audio License.

6.2 Royalty-Free Use

You may commercially release and monetise original productions that incorporate the licensed content as part of a larger creative work, without paying additional royalties to Ghost Syndicate Audio. “Royalty-free” does not transfer ownership of the source files or the underlying intellectual property to you.

6.3 Prohibited Uses

You may not resell, relicense, share, upload, redistribute, transfer, lend, lease or otherwise make the original product files available to another person, whether unchanged or modified.

You may not use the product files, whether isolated or combined with other materials, to create or distribute a competing sample pack, preset pack, sound library, production-resource collection or similar product.

You may not claim ownership of the original source files, register them as your own, or make them available through any content, stock-media or file-sharing service in a form that allows others to extract, reuse or redistribute them.

Using Ghost Syndicate Audio content to train, fine-tune, develop, evaluate or supply datasets for artificial intelligence or machine-learning systems is prohibited unless Ghost Syndicate Audio has provided prior written permission.

6.4 Complete Licence

Additional licence conditions may apply to particular product types. The complete rules are available in the Ghost Syndicate Audio License. If a product page contains specific licence terms, those terms apply in addition to this section.

7. Intellectual Property

The website, product files, artwork, audio demonstrations, graphics, text, branding, logos and other materials are owned by Tmi Loop Cult, operating under the auxiliary business name Ghost Syndicate Audio, or by its licensors. These materials are protected by applicable intellectual-property laws. No ownership rights are transferred except for the limited licence expressly granted to the customer.

8. Discount Codes, Promotions and Bundles

Discount codes must be entered during checkout and cannot normally be applied retroactively. A promotion may be limited by time, product, customer, territory or number of uses. Unless expressly stated otherwise, promotions cannot be combined.

If a logged-in customer already owns a product included in an eligible bundle, an adjusted price may be applied where this functionality is available. Any adjustment shown at checkout is the final applicable bundle price.

9. Software Compatibility

You are responsible for checking the stated file formats, DAW versions, plugin requirements and other compatibility information before purchasing. Unless a product page states otherwise, third-party software and plugins are not included. A compatibility issue caused solely by unsupported software or an incorrect customer setup does not make the digital files defective.

10. Acceptable Use

You must not use the website, customer account or services for unlawful, fraudulent or harmful activity; interfere with the website’s operation or security; attempt to gain unauthorised access; circumvent download or access restrictions; or infringe the rights of Ghost Syndicate Audio, Moonbase AS or any third party.

11. Third-Party Services and Links

The website may contain links to or rely on third-party services. Those services may be governed by separate terms and privacy policies. Ghost Syndicate Audio is not responsible for the independent content or practices of third-party websites, except where responsibility cannot lawfully be excluded.

12. Availability and Disclaimer

We take reasonable steps to keep the website, accounts and digital products available and secure, but we do not guarantee uninterrupted or error-free access. We may perform maintenance, correct errors and update product descriptions or compatibility information when necessary.

Nothing in these Terms excludes warranties, remedies or other consumer rights that cannot lawfully be excluded or restricted.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Ghost Syndicate Audio is not liable for indirect, incidental or consequential loss arising from use of the website or products. Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.

14. Suspension and Termination

We may restrict or terminate access to the website, an account or purchased content where these Terms, the Product Licence or applicable law have been materially violated. This may include unauthorised sharing, redistribution, resale or fraudulent use of product files or customer accounts.

15. Changes to These Terms

We may update these Terms when our services, business practices or legal obligations change. The latest version and its update date will be published on this page. Changes do not retroactively remove mandatory rights relating to purchases already completed.

16. Governing Law

These Terms are governed by the laws of Finland, without limiting any mandatory consumer protections that apply in the customer’s country of residence. Any dispute should first be submitted to us using the contact details below so that we have an opportunity to resolve it.
